Lights, Camera, Save! Contest Terms and Conditions

In order to reproduce and co-brand (where allowed) the logo/badge (collectively, “ABA Logo/Badge”) provided to participating banks for the Lights, Camera, Save! Video Contest (“Contest”), you (“Licensee”) will be required to register to be a participating bank for the Contest and affirmatively agree to the following terms and conditions set forth by American Bankers Association Foundation (“Licensor” or “ABA Foundation”). Once you register and agree to the terms and conditions below, you will receive a confirmation email and links to the ABA Logo/Badge available for download.

1. Eligibility. To be eligible to be a participating bank for the Contest and use the ABA Logo/Badge, Licensee must register for the Contest and be ABA membership eligible. Membership-Eligible Institutions are any national bank, state bank, savings bank, savings and loan, trust company, private bank, banking firm, all situated within the United States and its dependencies and any entity that has filed an application for Federal Deposit Insurance Corporation insurance of accounts.
2. Guidelines/Instructions. You agree to comply with all guidelines for use of the ABA Logo/Badge and instructions for placement of your bank’s branding on the ABA Logo/Badge as contained herein. Any failure to follow the guidance and instructions provided may result in your loss of the ability to use the ABA Logo/Badge.
3. Grant. ABA Foundation hereby agrees to grant Licensee a non-exclusive, non-transferable, royalty free, perpetual limited license to reproduce and distribute the ABA Logo/Badge for the Contest, so long as each reproduction is correct, complete, and is not altered in any manner, excluding the co-brand in the designated location on the ABA Logo/Badge as applicable. Licensee acknowledges and agrees that nothing contained herein conveys to Licensee any intellectual property rights or any other ownership right, interest or title to the ABA Logo/Badge or any other ABA Foundation branding, trademarks, or logos. Licensee agrees that it will not at any time assert or claim any interest in or do anything that may adversely affect the validity or enforceability of, any intellectual property right belonging to or licensed by the ABA Foundation by virtue of this Contest. Licensee agrees to indemnify and hold the ABA Foundation harmless from and against any and all claims, liabilities, expenses and damages, including reasonable attorney’s fees, arising from or related in any way to Licensee’s use or unauthorized use of the ABA Logo/Badge. 
4. Co-Brand. ABA Foundation shall allow Licensee to co-brand the ABA Logo/Badge with Licensee’s name/logo (not product/program names) so long as they have registered and consented to these terms and conditions. ABA Foundation agrees that it has no right, title, or interest in Licensee’s inserted logo(s).
5. Limitations. Licensee may not sell, license, assign, transfer, or convey to any person, business, or corporation the ABA Logo/Badge provided to Licensee for this Contest as individual registration is required and only eligible institutions may participate.
6. Privacy. ABA’s Online Privacy Policy shall govern any personal identifiable information provided during the Contest and the registration process.
