#BanksNeverAskThat Anti-Phishing Campaign

In order to reproduce, distribute, and co-brand (where allowed) the social media shares, printables, and videos contained herein (collectively, “ABA Materials”) for the #BanksNeverAskThat Anti-Phishing Campaign (“Campaign”), you (“Licensee”) will be required to register online at www.aba.com/BanksNeverAskThat (“Website”) and affirmatively agree to the following terms and conditions set forth by American Bankers Association (“Licensor” or “ABA”). Once you complete your registration on the Website, you will receive a confirmation email and links to the ABA Materials available for download.

  1. Eligibility. Only ABA Regular Membership-Eligible Institutions as defined in the ABA Bylaws may register for this Campaign. Membership-Eligible Institutions are any national bank, state bank, savings bank, savings and loan, trust company, private bank, banking firm, all situated within the United States and its dependencies and any entity that has filed an application for Federal Deposit Insurance Corporation insurance of accounts. ABA Partner Network Members are not eligible to participate.
  2. Guidelines/Instructions. You agree to comply with all guidelines for use of the ABA Materials and instructions for placement of co-brands on the ABA Materials as contained herein. Any failure to follow the guidance and instructions provided may result in your loss of the ability to use the ABA Materials.
  3. Grant. ABA hereby agrees to grant Licensee a non-exclusive, non-transferable, royalty free, perpetual limited license to reproduce and distribute the ABA Materials for the Campaign, so long as each reproduction is correct, complete, includes the full copyright statement if provided, and is not altered in any manner, excluding the co-brand in the designated location on the ABA Materials as applicable. Licensee acknowledges and agrees that nothing contained herein conveys to Licensee any intellectual property rights or any other ownership right, interest or title to ABA Materials or ABA branding/logos. Licensee agrees that it will not at any time assert or claim any interest in or do anything that may adversely affect the validity or enforceability of, any intellectual property right belonging to or licensed by the ABA by virtue of this Campaign. Licensee agrees to indemnify and hold the ABA harmless from and against any and all claims, liabilities, expenses and damages, including reasonable attorney’s fees, arising from or related in any way to Licensee’s use or unauthorized use of the ABA Materials.
  4. Co-Brand. ABA shall allow Licensee to co-brand the ABA Materials with Licensee’s name/logo (not product/program names) so long as they have registered and consented to these terms online the Website. ABA agrees that it has no right, title, or interest in Licensee’s inserted logos.
  5. Limitations. Licensee may not sell, license, assign, transfer, or convey to any person, business, or corporation any of the ABA Materials provided to Licensee for this Campaign as individual registration is required and only eligible institutions may participate.
  6. Privacy. The ABA’s Online Privacy Policy shall govern the personal identifiable information provided during the registration process
