6.5.       BHCs Required to be Well-Capitalized and Well-Managed to Become and Remain Financial Holding Companies.  A BHC will be required to be well capitalized and well managed before it may elect to become a financial holding company, and will be required to maintain that status in order to remain a financial holding company.  Prior to these amendments, only depository institution subsidiaries of a BHC were required to meet these standards.  This provision is effective on the Transfer Date.
